
The shareholders of Diehl Group, a leading provider of technical building services in Baden-Württemberg, Rheinland-Pfalz, Hessen and Thüringen, have entered into an agreement to sell their shares to Apleona Wolfferts.
NETWORK exclusively advised the shareholders and the management of the Diehl Group on the preparation and execution of the transaction.
Transaction
The shareholders of the Diehl Group have entered into an agreement to sell 100% of their shares to Apleona Wolfferts. The acquisition supports Apleona's strategic ambition to strengthen its Building Technology division and expanding the local presence and range of technical services for decarbonising of existing buildings and realising the energy transition. Apleona expects the acquisition and the further expansion of the Building Technology division to generate strong growth and synergies with the Facility Management business in the future, as well as an increase in decarbonisation sales within the Apleona Group. The transaction is subject to customary regulatory approvals. In addition to NETWORK, Taylor Wessing (corporate law), Ebner Stolz (transaction services) and Audtax (tax) advised the Diehl Group.

The Diehl Group, headquartered in Baumholder (Rhineland-Palatinate), is one of the largest suppliers of technical building services in southwest Germany and Thüringen. Its customers include industrial companies from a wide range of sectors, trading companies and the public sector. The group employs more than 550 people, mainly engineers, construction and project managers as well as technicians who are specialise in the technical building services of heating, air conditioning, ventilation, as well as heat pumps, and photovoltaics.
Apleona Wolfferts, Cologne, has over 1,100 employees at 18 sites throughout Germany and is one of the market leaders in the building technology sector. Its customers include major industrial clients, property and project developers as well as public clients such as universities, hospitals, museums and trade fair companies. Apleona Wolfferts also serves customers in medium-sized and small plant engineering, for example in the installation of heat pumps, and offers its customers a comprehensive service, even after commissioning.
